This page contains the Terms of Service for the “FXVPS Service.”

Key Points Overview #

  • This service provides Linux-based VPS (not Windows).
  • Regarding troubleshooting of trading software such as MetaTrader and Expert Advisors (EAs), we are generally not responsible for support (although we will cooperate in investigating the cause on a best-effort basis).
  • We perform adjustments and tuning on the OS templates we provide to facilitate MetaTrader operation (best-effort basis), but this does not constitute a warranty of operation.
  • We are not responsible for losses due to market fluctuations, trade execution, broker-side failures, communication delays, Expert Advisor (EA) stoppages, or similar events.

1. Scope and Consent #

These Terms of Service define the conditions of use for the “FXVPS Service” (hereinafter the “Service”) provided by we.
By using the Service, you agree to and consent to these Terms of Service.

  • If you apply for the Service or use the Service, you are deemed to have consented to these Terms of Service.
  • If you are a minor, you must obtain the consent of your parents or legal guardians.
  • If you use the Service as a corporation, the applicant must have the authority to consent to these Terms of Service on behalf of that corporation.

2. Service Description and Operating Environment #

2.1 Service Description #

This Service provides a VPS (Virtual Private Server) intended for use in FX trading.
However, we do not warrant the results of FX trading (profits or losses) or the operation of trading software.

2.2 OS and Operating Environment #

  • The OS for this Service is Linux.
  • Some OS templates we provide may include a compatibility layer (such as Wine) for the purpose of running MetaTrader (a Windows application) on Linux.
  • We do not warrant operation on specific PC environments, settings, Expert Advisors (EAs), indicators, broker connections, or similar configurations.

2.3 Non-Application of Investment Advice #

This Service is a server provision service and does not provide investment advice, trade recommendations, solicitation, or similar services.

3. Environment Adjustment for MetaTrader #

  • Based on the actual use of this Service for FX purposes, we perform adjustments and tuning of the OS templates we provide with the objective of facilitating the operation of MetaTrader and similar software.
  • For example, we may implement configuration adjustments, monitoring, and operational improvements at our discretion to ensure stability even when multiple processes are launched within typical usage ranges.

However, these efforts are best-effort in nature and do not constitute a warranty of operation of MetaTrader or Expert Advisors (EAs), a warranty of operation in specific configurations, or a warranty of trading results. Depending on your environment, settings, software, broker situation, and other factors, the Service may not operate or may malfunction.

  • We may change or discontinue the adjustment details or provision method of OS templates without prior notice, taking into account the update status of MetaQuotes and compatibility layers (such as Wine).
  • We will not automatically apply adjustments or tuning details to servers already in use (environments you have already created). If you wish to reflect changes, you must rebuild your server yourself.
  • Regardless of whether tuning is performed or its details, you are responsible for the operation of Expert Advisors (EAs) and MetaTrader.

4. Support Scope (Important) #

4.1 Supported Items (Areas We Support) #

  • VPS startup and shutdown (within the scope of functions we provide)
  • Troubleshooting our equipment and network failures
  • Notification regarding our equipment failures and maintenance

4.2 Generally Not Supported (But Cooperative on Best-Effort Basis) #

The following are generally not supported because they depend on your environment, software, and settings, and compatibility issues may occur.

  • Installation methods, operation methods, and individual bug fixes for MetaTrader (MT4/MT5, etc.)
  • Operation, settings, logic, optimization, and performance improvement of Expert Advisors (EAs) (automated trading) and indicators
  • Broker connection, trade execution, latency improvement requests, and all matters related to trading results
  • Compatibility issues with compatibility layers (such as Wine) and malfunctions caused by updates

However, we may cooperate on a best-effort basis in the following areas with root cause investigation and resolution assistance.
(For example: checking for possible server resource shortages or our-side failures, providing advice on general log review, etc.)

※We do not perform individual configuration, modification, or optimization of Expert Advisors (EAs) or trading software.

5. Maintenance and Suspension #

  • We may perform scheduled maintenance for preservation, inspection, updates, and similar purposes.
  • In cases where emergency response is necessary, we may suspend the Service without prior notice.
  • We are not responsible for losses of trading opportunities or similar damages resulting from suspension (we comply with applicable laws within the scope of Section 9).

6. Your Responsibilities (Backup, etc.) #

  • You are responsible for managing your password and similar credentials.
  • You must backup important data (configuration files, Expert Advisors (EAs), logs, etc.) at your own discretion as needed.
  • Malfunctions resulting from your operations, settings, software updates, and similar actions are your responsibility.

6.1 Prohibited Conduct #

You must not engage in the following conduct when using this Service.

  • Conduct that violates applicable laws or public order and morals
  • Unauthorized access, vulnerability exploration, or impersonation of third parties
  • Conduct that infringes upon the rights or interests of we or third parties
  • Conduct that places excessive load on our equipment or impedes service operations
  • Providing benefits to antisocial forces or conduct equivalent thereto

7. Fees and Payment #

Fees, payment methods, billing units, payment dates, and similar matters shall be in accordance with the conditions shown on the application page or otherwise specified by we.

8. Cancellation and Refunds #

  • Cancellation methods, cancellation cutoff dates, prorated fees, and similar matters shall be in accordance with the conditions shown on the application page or otherwise specified by we.
  • In the event of cancellation at your request, already-paid service fees may not be refunded (subject to the conditions of your application).

8.1 Service Suspension and Contract Termination #

We may suspend all or part of the Service or terminate your contract without prior notice if we determine that any of the following applies.

  • Payment of fees cannot be confirmed
  • You violate Section 6.1 (Prohibited Conduct)
  • Significant impact on our equipment or third parties is anticipated
  • We determine that termination is otherwise necessary for operational reasons

8.2 Data After Cancellation #

After cancellation or contract termination, we may delete data on the server after the passage of a period necessary for our operational needs. You must backup any necessary data in advance.

9. Disclaimers and Limitation of Liability #

9.1 Disclaimers (Matters for Which We Are Not Responsible) #

We are not responsible for damages to you arising from the following.

  • Market fluctuations, trade execution, slippage, broker-side failures, or specification changes
  • Malfunctions, configuration errors, or compatibility issues with third-party software such as Expert Advisors (EAs) and MetaTrader
  • Events arising from communication delays, Internet connection issues, PC environment issues, or similar matters on your side or with third parties
  • Loss of trading opportunities, lost profits, or similar damages resulting from Service suspension or delay

9.2 Our Responsibility Range and Limit #

Even if we bear liability for damages to you in connection with this Service, such liability shall be limited to direct and ordinary damages, and the maximum amount shall be the Service fees paid by you to we in the month in which the damage occurred (one month).

※We are not responsible for indirect damages, special damages, consequential damages, lost profits, trading losses, or similar matters.

9.3 Consideration for Consumer Contract Law and Other Applicable Laws #

Notwithstanding the foregoing, if damages to you result from our willful misconduct or gross negligence, or if the Consumer Contract Act or other applicable laws do not permit our disclaimers or limitation of liability, we shall comply with the applicable laws.

11. Changes to Terms of Service #

We may amend these Terms of Service as needed. Changes and their effective dates will be communicated to you through our designated methods (Web posting, email, etc.).

12. Governing Law and Jurisdiction #

  • These Terms of Service shall be governed by Japanese law.
  • Any disputes arising in connection with this Service shall be subject to the exclusive jurisdiction of the Furukawa Branch of Sendai District Court as the court of first instance.
